1. Services & Scope of Work

Social Media Management & Marketing
E-commerce Setup & Custom Solutions

Detailed scopes, deliverables, timelines, and payment terms for specific projects will be outlined in individual project proposals, packages, or agreements agreed upon prior to project commencement.

2. Pricing and Payment Terms

Package Prices: All package pricing listed on our website (e.g., Wix Starter, Wix Business, Wix Ecommerce Pro) or quoted in proposals is subject to the inclusions listed in that specific package or statement of work.
Payment Schedule: Unless otherwise specified in a custom agreement, payments are due according to the payment schedule outlined at the time of purchase or invoice issuance. Work will commence upon receipt of the agreed deposit or upfront payment.
Late Payments: We reserve the right to pause or suspend work on any project if payments are overdue.

3. Intellectual Property & Ownership Rights

Client Content: You retain all ownership rights to any text, images, trademarks, or media provided to us for inclusion in your project. You represent and warrant that you own or have the necessary licenses for all materials provided.
Final Deliverables & Ownership: Upon receipt of full and final payment for the project, 100% ownership rights to the final website design, graphics, and custom code developed specifically for your project are transferred to you.
Portfolio Usage: Unless explicitly agreed upon otherwise in writing, RedPine Web Studio reserves the right to display completed designs, project screenshots, and website links in our online portfolio, marketing materials, and case studies.

4. Client Responsibilities & Revisions

Cooperation & Materials: Timely delivery of project materials, feedback, passwords, and approvals from the client is required to meet project timelines. Delays in client communication may result in extended project deadlines.
Revisions: Revisions are limited to the amount explicitly stated in your selected service package or project agreement. Requests for additions or major structural alterations outside the agreed scope will be subject to additional fees.

5. Hosting, Third-Party Tools, and Subscriptions

Third-Party Services: Projects may involve third-party integrations, software, hosting providers, domain registrars, or platforms (e.g., Wix, Google, payment gateways). RedPine Web Studio is not responsible for third-party service outages, price changes, API updates, or policy changes made by third-party providers.
Recurring Fees: Clients are solely responsible for ongoing third-party subscription fees, domain renewals, hosting plans, and app licenses required to maintain their website after deployment.

6. Warranties & Limitation of Liability

“As Is” Service: Our website and services are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including fitness for a particular purpose.
Limitation of Liability: To the maximum extent permitted by law, RedPine Web Studio, its owners, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, or business opportunities) arising out of or related to your use of our services or website.
Maximum Liability: In any event, our total liability shall not exceed the total amount paid by you to RedPine Web Studio for the specific service giving rise to the claim.

7. Warranties on Web Performance & SEO

While we employ industry best practices for Search Engine Optimization (SEO), speed optimization, and responsive design, we do not guarantee specific search engine rankings, traffic volumes, or sales conversions, as search engine algorithms and market conditions are outside our control.

8. Cancellation & Termination

Termination by Client: You may cancel a project by providing written notice. In the event of cancellation, payments made for completed milestones or work already performed are non-refundable.
Termination by RedPine Web Studio: We reserve the right to terminate or suspend services immediately if a client breaches these Terms, fails to make required payments, or engages in abusive behavior toward our team.

9. Governing Law & Jurisdiction

These Terms and any disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Virginia, USA.

10. Changes to Terms & Conditions

We reserve the right to revise or modify these Terms & Conditions at any time. Updated versions will be posted on this page with an updated “Effective Date.” Your continued use of our website or services following any updates constitutes acceptance of the modified Terms.
